YTKO Ltd provide online platforms and various tools and branded services which help individuals and businesses to start, sustain and scale, and Outset Online is one of these. These terms and conditions together with any associated policies govern the relationship between YTKO and any party which accesses or uses the Outset Online service in any way, and constitute a legally binding agreement. You must therefore be able and authorised to enter into such a contract.
Any party not agreeing to these terms and conditions is not authorised to access or otherwise use any of the services.
YTKO may revise our terms and conditions at any time by uploading updated versions to this webpage.
Users violating these terms and conditions may have their access and use of any or all of the various sites and services suspended, in addition to any other legal rights and remedies available to YTKO under these terms and conditions or otherwise available.
Users agree that they are fully responsible for, and agree to abide by any and all laws, rules and regulations applicable to their use of the services and materials and information provided or accessed via the services, and any transactions or agreements entered into in connection with their use of the services or any and all materials accessed from or created in whole or in part through the services.
Users agree to keep passwords and online identities of their accounts secure and strictly confidential and for their own direct use only. Users should contact YTKO immediately if they are contacted by anyone requesting passwords or online identities for any services provided by YTKO. If YTKO suspect any unauthorised access to the user’s account, the user agrees to promptly change password and online identity and take any other related action as YTKO may reasonably request. In the event that a user passes on passwords and/or online identities to 3rd parties or fails to safeguard such information, then YTKO considers the user shall be responsible for any and all actions that the third party performs while using the services even if such actions prove to be fraudulent and not as intended by the user.
The services are designed to be specifically used by a single user for a single business. The services may not be transferred to or used by any additional enterprise or organisation other than that directly connected to the user and used originally for the user’s benefit.
All information and materials hosted or provided in any way via the site, service, platforms and resources remains the copyright of YTKO or the specified copyright owners. In certain cases, copyright agreements such as Creative Commons may be specifically applied to all or some of the materials and, in these cases, will take precedence over any specific copyright or intellectual property belonging to YTKO. YTKO’s policy is to pursue any infringement of its intellectual property whether used in whole or in part.
Copying, distribution and the inclusion of materials, data and information posted on the site is not allowed unless by specific written permission from YTKO Ltd and/or the defined copyright holder for the specific information. Copying includes the transmission or retransmission of materials by personal or company email, blogs, vlogs, hosting on personal or corporate websites, use within written material, broadcasts or presentations of any type to any audience.
YTKO reserves the right to decline or cancel any service provision to any user, which, in YTKO's discretion, is deemed capable of infringing in any way any provision of these terms and conditions.
Users may not exploit, edit, translate or make publicly accessible any of the site services, contents and materials. Users also may not include content on the site that breaches any applicable criminal, copyright, intellectual property or any other laws or encourages any such breach. Users may not access the site to upload or display computer programs, links to unauthorised sites, or messages that may be regarded as promotional or disruptive, or post or transmit information that is in any way false, fraudulent or misleading, or indecent, inflammatory explicit or defamatory, or is in any other way unsuitable.
YTKO for its part will make every effort to validate and verify the accuracy and timeliness of the information in the services, but YTKO accepts no responsibility for any subsequent or consequent damage or loss caused by use of information, materials or any other data accessed from or created with the site, nor for any errors or omissions in advice or information provided directly or indirectly.
No warranties or guarantees are provided or implied to users or any third parties through the provision of information on Outset Online and/or its affiliates or agents or employees. Payments for the services are made through third-party organisations and YTKO shall not be held responsible for any lapses in security or confidentiality emanating as a direct result of the use of these third-party organisations. YTKO makes every effort to ensure the full security and confidentiality of any and all information held directly on its systems but limits its liability only to the cost of the services and/or information provided under the terms of the individual service contract to the specific user.
Subscriptions to the services provide the service to the individual user, and may not be resold or redistributed in any way. Any infringement shall result in the user agreeing to pay the full service charge for any additional users as though such additional services were entered into by the user at the time of their initial service agreement.
Additional services and applications may be provided from time to time by YTKO as integral or optional parts of the core services. Such additions or options are supplied under these terms and conditions, and shall be used accordingly.
The services provided may include options for communications between users, and between users and advisers and experts. YTKO accepts no responsibility for or involvement in these communications. Advisers shall, to the best of their knowledge and ability, provide information and guidance to users. YTKO accepts no responsibility for the outcomes of such advice and users should seek additional advice and/or support in cases where the following of advice provided through the services may result in financial, reputational, operational or any other issues to the detriment or otherwise of the user and/or the user’s organisation.
A user will be considered to be in material breach of these terms and conditions if they have been abusive or offensive to any other user or adviser or have misused the services or platform in any way. YTKO shall be entitled at its sole discretion to suspend or terminate that user’s account. YTKO does not assume any responsibility for the confirmation of each user's identity.
Termination of a user's account and services may only be made at the end of the paid for term, and no refund of fees will be made to any user that wishes to stop its access to and use of the services before the end of the paid for term.
Any provision of the information and services made to a user under special promotions or demonstrations, whether paid for or free or subsidised or sponsored, is made under these terms and conditions and the access by the user will be taken as acceptance of the terms and conditions in these cases. YTKO may change, suspend or discontinue any aspect of any of the services at any time without any prior notice or liability. YTKO may undertake upgrades or enhancements to the site, services and the materials and content contained therein to address information and technological developments, but such upgrades will, where possible, be undertaken at a time when most users’ use of the sites and services is least affected.
YTKO reserves the right to transfer the services, the content and materials, and these terms and conditions, and to assign or subcontract any and all of its rights and obligations under these terms and conditions to a third party or any other entity. However it will not do so in such a way as to reduce any service levels sold to or given to the users under these terms and conditions.
Users agree to defend, indemnify and hold harmless YTKO and any of its subsidiaries, affiliates, and their respective officers, directors, employees and agents, from and against any claims, causes of action, losses, demands, damages, fines, penalties, or other costs, or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought or occasioned by third parties alleging, arising out of, or in connection with any content or material provided by YTKO, provided by the user, and provided by any other party such as an adviser or coach.
Users agree that these terms and conditions will be governed by the laws of England and Wales and that any jurisdiction for any claims arising under this agreement shall lie exclusively with English courts. Alternative dispute resolution will be preferred. If any of the terms and conditions are found to be invalid by any court then the invalidity of such a provision shall not affect the validity of the remaining provisions of the terms and conditions which shall remain in full force and effect.
